Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of the website located at reinforce.fi and the Services made available through it.

The Services provide a software interface through which users may interact with the Reinforce Protocol, a decentralized, non-custodial software protocol deployed through public blockchain smart contracts.

By accessing or using the Interface, connecting a compatible digital wallet, submitting blockchain transactions through the Interface, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Privacy Policy.

If you do not agree to these Terms, you must not access or use the Interface or the Services.

1. Definitions

For purposes of these Terms:

“Interface” means the website located at reinforce.fi, together with all website functionality, application interface functionality, APIs (if any), and any related services made available through it.

“Protocol” means the Reinforce decentralized, non-custodial software protocol deployed through public blockchain smart contracts, together with any upgrades, additional smart contracts, supported blockchain networks, protocol components, or related on-chain functionality introduced from time to time.

“Services” means the functionality made available through the Interface that enables users to interact with the Protocol.

“Terms” means these Terms of Use, as amended from time to time.

Unless otherwise defined herein, capitalized terms shall have their ordinary meaning in the context of these Terms.

2. Protocol Structure

The Protocol is decentralized software deployed through immutable or upgradeable smart contracts on public blockchain networks.

The Protocol itself is not a corporation, partnership, foundation, association, decentralized autonomous organization (DAO), trust, or any other legal entity. It is software that operates through blockchain infrastructure and smart contracts.

These Terms govern only your use of the Interface and the Services made available through it. They do not govern interactions with the Protocol conducted through third-party interfaces, direct smart contract interactions, or software developed or operated independently by third parties.

The Interface may be developed, maintained, modified, updated, or discontinued by independent contributors from time to time.

References in these Terms to “we,” “us,” or “our” refer solely to the persons maintaining or supporting the Interface and are used solely for drafting convenience. Such references shall not be interpreted as implying the existence of any incorporated entity, partnership, fiduciary, investment manager, trustee, custodian, centralized operator, or similar legal relationship.

Nothing in these Terms creates or shall be interpreted as creating any partnership, agency, fiduciary duty, employment relationship, joint venture, investment advisory relationship, trust relationship, or similar legal relationship between you and any contributor, developer, maintainer, participant, or other person involved in the development, maintenance, or operation of the Protocol or the Interface.

3. Description of the Services

The Protocol is a decentralized, non-custodial yield protocol designed to enable users to deposit supported digital assets into publicly deployed smart contracts and receive TRUSD, a yield-bearing token representing their proportional participation in the Protocol.

The Protocol may generate yield through one or more strategies, including, without limitation:

  • stablecoin lending;
  • delta-neutral or market-neutral strategies;
  • funding-rate arbitrage;
  • liquidity management;
  • treasury allocation; and
  • other strategies that may be introduced through future Protocol upgrades or governance mechanisms.

The Interface provides a software interface through which users may interact with publicly deployed smart contracts comprising the Protocol.

The Interface does not:

  • custody digital assets;
  • execute transactions on behalf of users;
  • guarantee execution of transactions;
  • guarantee profitability;
  • provide investment management services;
  • provide brokerage services;
  • provide payment services; or
  • provide investment advice.

All blockchain transactions are initiated exclusively by users through their own compatible wallets and are executed directly on the relevant blockchain network.

The Protocol may evolve over time through upgrades, governance mechanisms, deployment of additional smart contracts, support for additional blockchain networks, or other technical developments.

Nothing in these Terms guarantees the continued availability of any Protocol functionality, supported asset, blockchain network, Interface feature, or Service.

4. Non-Custodial Nature of the Protocol

The Protocol operates exclusively on a self-custodial basis.

At no time does the Interface or the Protocol obtain possession, custody, ownership, or control of users’ digital assets.

Users remain solely responsible for:

  • their wallets;
  • private keys;
  • seed phrases;
  • recovery phrases;
  • authentication credentials;
  • transaction approvals;
  • transaction confirmations;
  • wallet security; and
  • device security.

The Interface cannot:

  • recover lost assets;
  • recover wallets;
  • restore credentials;
  • retrieve private keys;
  • reverse blockchain transactions; or
  • cancel confirmed blockchain transactions.

The Protocol does not provide:

  • escrow services;
  • custody services;
  • fiduciary services;
  • banking services;
  • brokerage services;
  • portfolio management services;
  • payment services; or
  • investment advisory services.

Every blockchain transaction submitted through the Interface requires authorization through the user’s own wallet.

By authorizing a blockchain transaction, you acknowledge that:

  • you independently reviewed the transaction;
  • you authorized the transaction;
  • blockchain transactions are generally irreversible once confirmed; and
  • transactions cannot ordinarily be modified or reversed after confirmation.

5. Deposits, Redemptions and TRUSD

The Protocol enables users to deposit supported digital assets into Protocol smart contracts.

Upon a successful deposit, the Protocol mints TRUSD, a yield-bearing token (an ERC-20 token on Ethereum and a TRC-20 token on Tron) reflecting a user’s proportional position within the Protocol.

TRUSD is designed to target a value of approximately one U.S. dollar through Protocol mechanics.

However, no representation or warranty is made that TRUSD will:

  • maintain any particular market price;
  • maintain any specific peg;
  • remain continuously redeemable; or
  • preserve any particular value.

Yield generated by the Protocol may be reflected through rebasing mechanisms, balance adjustments, accounting mechanisms, or other Protocol functionality introduced through future upgrades.

The quantity or value of TRUSD held by users may increase, decrease, or otherwise fluctuate depending upon:

  • Protocol performance;
  • applicable fees;
  • market conditions;
  • smart contract functionality;
  • governance decisions; and
  • other Protocol mechanics.

Subject to Protocol functionality and available liquidity, users may redeem TRUSD for supported assets.

TRUSD does not represent a claim against any legal entity, issuer, custodian, contributor, developer, maintainer, reserve manager, or other person. Any redemption of TRUSD occurs solely through Protocol smart contract functionality and remains subject to Protocol mechanics, available liquidity, smart contract operation, applicable fees, market conditions, and the risks described in these Terms.

Nothing in these Terms shall be interpreted as creating any contractual redemption obligation, guarantee, undertaking, or payment obligation by any legal entity or person.

Nothing in these Terms guarantees:

  • redemption availability;
  • uninterrupted Protocol operation;
  • sufficient liquidity;
  • maintenance of any peg;
  • generation of yield;
  • compatibility with third-party applications.

6. Protocol Fees

The Protocol may apply one or more fees in connection with its operation.

Such fees may include, without limitation:

Deposit Fee

A fee applied upon depositing supported assets into the Protocol.

Redemption Fee

A fee applied when redeeming TRUSD through the Protocol.

Performance Fee

A fee of up to twenty percent (20%) of Protocol-generated yield, where applicable.

Applicable fees, where technically feasible, will be displayed through the Interface prior to transaction confirmation.

Protocol fees may change from time to time as a result of:

  • governance decisions;
  • Protocol upgrades;
  • market conditions;
  • modifications to Protocol parameters; or
  • future Protocol development.

By authorizing a blockchain transaction, you acknowledge and accept any fees disclosed through the Interface or encoded within the Protocol smart contracts.

7. Eligibility and Restricted Jurisdictions

By accessing or using the Interface, you represent and warrant that:

  • you have reached the age of legal majority in your jurisdiction;
  • you possess the legal capacity to enter into these Terms;
  • your use of the Interface and the Protocol complies with applicable law; and
  • you are solely responsible for determining whether access to or use of the Protocol is lawful within your jurisdiction.

The Interface is not directed toward minors.

Access to the Interface may be restricted, suspended, or technically limited in jurisdictions where decentralized finance services, blockchain applications, or digital assets are prohibited or restricted.

Certain Interface features or Protocol functionality, including minting, redemption, staking, if available, rebasing, yield-related functionality, or access to particular supported assets, may be restricted, unavailable, modified, or discontinued in certain jurisdictions where their legal or regulatory treatment is uncertain, restricted, or subject to licensing, authorization, registration, disclosure, or other regulatory requirements.

In particular, access to certain Interface features and Protocol functionality, including minting, redemption, and bridging, may be restricted for persons located in, organized under the laws of, or ordinarily resident in the United States, or in other jurisdictions where the regulatory treatment of the Protocol, TRUSD, or related functionality is uncertain or subject to additional requirements. Any such restriction is separate from, and additional to, the sanctions-based restrictions described below.

No representation is made that TRUSD, the Protocol, the Interface, or any related functionality is approved, registered, authorized, licensed, or otherwise recognized under any regulatory framework in any jurisdiction, including the European Union Markets in Crypto-Assets Regulation (MiCA) or any other digital asset, securities, banking, payments, or financial services regime.

Without limitation, you represent that you are not:

  • located in;
  • organized under the laws of; or
  • ordinarily resident in,

any country or territory that is the target of comprehensive country-wide or territory-wide sanctions, embargoes, or equivalent restrictive measures imposed, administered, or enforced by the United Nations, the European Union, the United Kingdom, the United States, or any other applicable governmental authority.

You further agree not to use VPNs, proxy services, or similar technologies for the purpose of circumventing geographic restrictions implemented through the Interface.

Nothing in these Terms shall be interpreted as a representation that the Interface or the Protocol may lawfully be used in any particular jurisdiction.

8. Compliance; AML and KYC

The Protocol is designed as a permissionless decentralized protocol.

The Interface currently does not require:

  • user registration;
  • account creation;
  • Know Your Customer (KYC) verification;
  • Anti-Money Laundering (AML) verification; or
  • identity verification,

in order to interact with the Protocol.

The Interface does not intentionally collect:

  • passports;
  • government-issued identification documents;
  • biometric information;
  • proof of address; or
  • similar identity credentials.

You remain solely responsible for complying with all laws applicable to your access to and use of the Interface and the Protocol, including without limitation:

  • sanctions laws;
  • AML requirements applicable to you;
  • tax obligations;
  • reporting obligations; and
  • other legal or regulatory requirements applicable within your jurisdiction.

Future versions of the Interface or certain Protocol functionality may introduce additional compliance procedures where required by:

  • applicable law;
  • supporting infrastructure providers;
  • security considerations; or
  • future Protocol development.

Nothing in these Terms shall prevent reasonable measures intended to protect the Interface against fraud, abuse, malicious activity, sanctions violations, security incidents, or other unlawful conduct.

9. Risks

Your use of the Interface and the Protocol involves significant financial, technical, operational, legal, regulatory, and technological risks.

By accessing or using the Interface, you acknowledge that you understand and voluntarily assume these risks.

The risks described below are illustrative only and do not constitute a complete list.

Smart Contract Risk

The Protocol operates through software deployed on blockchain networks.

Software may contain:

  • vulnerabilities;
  • implementation errors;
  • design flaws;
  • undiscovered bugs;
  • security weaknesses; or
  • exploitable conditions.

Any such issue may result in partial or total loss of digital assets.

Blockchain transactions generally cannot be reversed.

Stablecoin Risk

USDT, TRUSD, or any other supported digital asset may:

  • lose value;
  • lose liquidity;
  • experience a depeg event;
  • become unavailable; or
  • otherwise fail to perform as expected.

Neither the Interface nor the Protocol guarantees the stability, liquidity, redemption value, or market price of any supported asset.

Strategy Risk

Protocol strategies may generate:

  • lower-than-expected returns;
  • no returns; or
  • losses.

Future Protocol upgrades may introduce strategies with different risk characteristics.

Past performance is not indicative of future results.

Market Risk

Digital asset markets are highly volatile.

Interest rates, funding rates, liquidity conditions, exchange failures, counterparty events, market dislocations, or extreme market volatility may materially affect Protocol performance.

Oracle and Infrastructure Risk

The Protocol may rely upon third-party blockchain infrastructure, including:

  • RPC providers;
  • oracle services;
  • node operators;
  • bridges;
  • APIs; or
  • other supporting infrastructure.

Failures, outages, manipulation, inaccurate information, or delayed updates may adversely affect the operation of the Protocol.

Blockchain Risk

Underlying blockchain networks may experience:

  • forks;
  • validator failures;
  • censorship;
  • congestion;
  • denial-of-service attacks;
  • consensus failures;
  • chain reorganizations; or
  • network outages.

Such events may adversely affect the availability or functionality of the Protocol.

Wallet Security Risk

You remain solely responsible for protecting:

  • your wallet;
  • private keys;
  • recovery phrases;
  • authentication credentials; and
  • connected devices.

Loss or compromise of any of these may permanently prevent access to digital assets.

Regulatory Risk

Laws governing:

  • blockchain technology;
  • decentralized finance;
  • digital assets;
  • taxation;
  • sanctions; and
  • financial services

continue to evolve.

Future legislation, regulatory action, judicial decisions, or governmental enforcement may adversely affect:

  • the Protocol;
  • the Interface;
  • supported assets; or
  • your ability to access or use them.

Token Classification and MiCA Risk

The legal and regulatory classification of TRUSD, the Protocol, and related Protocol functionality is uncertain and may vary across jurisdictions.

TRUSD or related functionality may be viewed differently by different regulators and could be subject to laws or regulations applicable to crypto-assets, asset-referenced tokens, e-money tokens, securities, derivatives, collective investment arrangements, banking, payments, or other regulated activities.

Future regulatory action, including under MiCA or similar regulatory frameworks, may affect the availability, transferability, redemption, use, listing, integration, or legal treatment of TRUSD or other supported digital assets.

No assurance is given that TRUSD or any related Protocol functionality will continue to be available in any particular jurisdiction or through any particular third-party platform, wallet, exchange, application, or service provider.

Third-Party Infrastructure Risk

The Interface relies upon independent third-party infrastructure providers.

Interruptions, failures, security incidents, service discontinuations, or technical failures affecting such providers may impair the availability, reliability, or functionality of the Interface.

Additional information regarding such providers is available in the Privacy Policy.

General Risk

Blockchain technology, decentralized finance, and digital assets remain experimental.

Additional risks may exist that are:

  • unknown;
  • unforeseeable; or
  • impossible to predict.

You acknowledge that you may lose some or all of your digital assets.

Neither the Interface nor the Protocol guarantees:

  • preservation of value;
  • profitability;
  • uninterrupted operation;
  • continuous availability; or
  • successful execution of any transaction.

To the maximum extent permitted by applicable law, you assume all risks arising from your access to and use of the Interface and the Protocol.

10. Protocol Administration and Upgrades

The Protocol may include administrative, governance, or emergency mechanisms implemented through:

  • smart contracts;
  • multi-signature wallets;
  • governance procedures; or
  • other decentralized control mechanisms.

Such mechanisms may include, without limitation:

  • Protocol upgrades;
  • deployment of additional smart contracts;
  • migration procedures;
  • emergency pause functionality;
  • parameter adjustments;
  • treasury management; and
  • support for additional blockchain networks or digital assets.

The existence of such mechanisms does not create any fiduciary obligation toward users.

Protocol upgrades may:

  • modify existing functionality;
  • discontinue functionality;
  • introduce new features; or
  • remove previously available functionality.

Continued use of the Interface following a Protocol upgrade constitutes acknowledgment that Protocol functionality may evolve over time.

11. Communications; Documentation; Privacy

The Interface, Protocol documentation, technical documentation, GitHub repositories, blogs, documentation websites, Discord, Telegram, X (Twitter), announcements, community discussions, emails, and other publicly available communications are provided solely for informational purposes.

Nothing made available through the Interface or any community channel constitutes:

  • financial advice;
  • investment advice;
  • legal advice;
  • tax advice;
  • accounting advice;
  • fiduciary advice; or
  • any recommendation to engage in a transaction.

No obligation exists to provide:

  • individualized recommendations;
  • investment guidance;
  • technical support; or
  • ongoing assistance.

If you voluntarily communicate through support channels or community platforms, you should never disclose:

  • private keys;
  • recovery phrases;
  • passwords;
  • authentication credentials; or
  • other confidential security information.

Any feedback, ideas, suggestions, bug reports, feature requests, or similar submissions may be used to improve the Interface or the Protocol without compensation or restriction.

Use of the Interface is also governed by the Privacy Policy, which explains how information relating to your use of the Interface may be processed, including the use of cookies, local storage, analytics technologies, technical diagnostics, and supporting infrastructure providers.

12. Disclaimers; No Warranties; Limitation of Liability

No Warranties

THE INTERFACE, THE PROTOCOL, THE SERVICES, THE DOCUMENTATION, AND ALL RELATED CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

To the maximum extent permitted by applicable law, all warranties, whether express, implied, statutory, or otherwise, are expressly disclaimed, including warranties of:

  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • accuracy;
  • security;
  • availability; and
  • uninterrupted operation.

Without limitation, no representation or warranty is made that:

  • the Interface will always be available;
  • the Protocol will remain operational;
  • transactions will execute successfully;
  • bugs or vulnerabilities will be corrected;
  • yields will be generated;
  • TRUSD will maintain any particular value or peg; or
  • Protocol strategies will remain profitable.

Limitation of Liability

To the maximum extent permitted by applicable law, no person maintaining, supporting, developing, or otherwise contributing to the Interface or the Protocol shall be liable for any:

  • indirect damages;
  • incidental damages;
  • consequential damages;
  • special damages;
  • exemplary damages;
  • punitive damages;
  • loss of profits;
  • loss of revenue;
  • loss of business opportunities;
  • loss of goodwill;
  • loss of digital assets;
  • loss of data; or
  • interruption of business.

This limitation applies regardless of the legal theory asserted, including contract, tort, negligence, strict liability, or otherwise.

To the maximum extent permitted by applicable law, aggregate liability arising out of or relating to these Terms, the Interface, or the Protocol shall not exceed the greater of:

  • USD 100; or
  • the minimum amount permitted under applicable law.

Nothing in these Terms excludes or limits liability where such limitation is prohibited under mandatory applicable law.

Assumption of Risk

By accessing or using the Interface, you voluntarily assume all risks associated with:

  • blockchain technology;
  • decentralized finance;
  • smart contracts;
  • digital assets;
  • cryptographic systems;
  • wallet security;
  • Protocol upgrades;
  • third-party infrastructure;
  • market volatility; and
  • any other risks described in these Terms.

13. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless persons maintaining or supporting the Interface from any claims, liabilities, losses, damages, judgments, costs, and reasonable legal expenses arising out of or relating to:

  • your breach of these Terms;
  • your violation of applicable law;
  • your misuse of the Interface;
  • your infringement of third-party rights; or
  • your blockchain transactions.

This obligation survives termination of your access to or use of the Interface.

14. Intellectual Property

Except where expressly identified as open-source software or otherwise made available under an open-source license, the content made available through the Interface, including without limitation:

  • text;
  • graphics;
  • visual elements;
  • interface design;
  • documentation;
  • branding;
  • trademarks;
  • logos; and
  • website content,

is protected by applicable intellectual property laws.

Nothing in these Terms grants you ownership of, or any right, title, or interest in, any intellectual property relating to the Interface except as expressly provided herein.

Open-source software forming part of the Protocol remains subject exclusively to its respective open-source license.

Nothing in these Terms restricts your ability to interact directly with publicly deployed smart contracts in accordance with the applicable open-source licenses governing those smart contracts.

15. Dispute Resolution

To the maximum extent permitted by applicable law, any dispute arising out of or relating to these Terms or your use of the Interface should first be addressed through good-faith efforts to resolve the matter informally.

Where legally enforceable and mutually agreed, disputes may subsequently be submitted to binding arbitration conducted in the English language under mutually agreed arbitration rules.

If arbitration is unavailable or unenforceable under applicable law, disputes shall be resolved by a court of competent jurisdiction in accordance with applicable conflict-of-law principles.

Nothing in this Section limits any mandatory consumer rights or other non-waivable rights available under applicable law.

16. Changes to the Terms

These Terms may be updated periodically to reflect changes relating to:

  • the Interface;
  • the Services;
  • the Protocol;
  • applicable law;
  • security practices;
  • technical infrastructure; or
  • supporting documentation.

Updated versions become effective upon publication through the Interface unless otherwise specified.

The “Effective Date” appearing at the beginning of these Terms indicates the version currently in effect.

Continued access to or use of the Interface following publication of updated Terms constitutes acceptance of the revised Terms.

17. Miscellaneous

These Terms, together with the Privacy Policy and any additional notices expressly incorporated by reference, constitute the entire agreement governing your access to and use of the Interface.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.

Section headings are included solely for convenience and shall not affect the interpretation of these Terms.

18. Eligibility Reaffirmation

By continuing to access or use the Interface, you reaffirm that:

  • you satisfy the eligibility requirements described in these Terms;
  • your access to and use of the Interface complies with applicable law;
  • you understand the risks associated with blockchain technology and decentralized finance; and
  • you accept full responsibility for your own decisions, wallet security, and blockchain transactions.

19. Future Development

The Protocol remains under active development.

Future versions of the Protocol or the Interface may introduce, modify, or discontinue:

  • supported blockchain networks;
  • supported digital assets;
  • Protocol strategies;
  • governance mechanisms;
  • smart contracts;
  • fee structures;
  • integrations with third-party protocols;
  • APIs;
  • Interface functionality; or
  • other technical features.

Unless expressly stated otherwise, these Terms shall apply to such future functionality.

Nothing in these Terms creates any obligation to continue developing, maintaining, supporting, or making available any particular feature, Service, or component of the Interface or the Protocol.

Acceptance

BY ACCESSING OR USING THE INTERFACE, CONNECTING A COMPATIBLE DIGITAL WALLET, OR SUBMITTING A BLOCKCHAIN TRANSACTION THROUGH THE INTERFACE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF USE AND THE PRIVACY POLICY.
